OM Group, Inc. is amending its Current Report on Form 8-K filed February 20, 2007 (the “Original Form 8-K”) pursuant to Instruction 2 to Item 5.02 of Form 8-K, to provide information that was not determined or available at the time of the filing of the Original Form 8-K. The Original Form 8-K was filed to report the appointment, effective February 16, 2007, of Gordon A. Ulsh to the Board of Directors.

(d) Gordon A. Ulsh, whose term of office as a director of OM Group, Inc. commenced on February 16, 2007, has been appointed to the Audit Committee and the Compensation Committee of the Board of Directors
