Item 8.01. Other Events
On December 27, 2005, Rurban Financial Corp. (the "Company") issued a
news release announcing that Mark A. Klein has accepted the position of
President and CEO of The State Bank and Trust Company, the Company's banking
subsidiary, and will assume these responsibilities effective January 3, 2006.
The Company also announced that Dean Miller, the current president of The State
Bank and Trust Company, has submitted his resignation to pursue other
opportunities. A copy of the December 27, 2005 news release is furnished as
Exhibit 99 and is incorporated herein by reference.
