ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On September 16, 2008, EZCORP, Inc. announced that it entered a definitive merger agreement to
acquire 100% of the equity ownership of Value Financial Services, Inc. The expected closing date
of the merger is September 22, 2008, or as soon as possible thereafter. A copy of the press
release and related merger agreement are attached hereto as Exhibits 10.1 and 10.2.
