Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

     Effective October 21, 2005, John A. Ryan, the Company’s Chairman of the Board and former chief executive officer resigned from the Company’s Board of Directors. Mr. Ryan most recently served as the Company’s chief executive officer until February 2005, at which time Mr. Richard D. Spurr, the Company’s current president and chief executive officer, was elected to that role.
