Item 1.01.  Entry into a Material Definitive Agreement.
     On August 4, 2005, the Compensation Committee of the Board of Directors of Michaels Stores, Inc. (the “Company”) adopted forms of award agreements (the “Forms”) for use in connection with the Company’s 2005 Incentive Compensation Plan (the “Plan”), all of which are attached to this Current Report on Form 8-K as Exhibit 10.1 and are incorporated by reference into this Item 1.01. Unless the Compensation Committee otherwise provides, the Forms will be used to evidence awards granted under the Plan on or after August 4, 2005.
