     Item 7.01 Regulation FD Disclosure

     (a) On June 1, 2006, Chicago Bridge & Iron Company N.V. hosted a conference call to discuss financial and operating results for the year ended December 31, 2005 and the quarter ended March 31, 2006, results of its Audit Committee’s inquiry and internal financial review, executive team appointments and its outlook for 2006. The Company also announced resumption of its share repurchase program on June 1, 2006. A copy of the transcript is attached as Exhibit 99.1 to this Current Report on Form 8-K.
