GENERAL INSTRUCTIONS

1.
This form is required by Rule 12b-25 (17 CFR 240.12b-25) of the General Rules and Regulations under the Securities Exchange Act of 1934.

One signed original and four conformed copies of this form and amendments thereto must be completed and filed with the Securities and Exchange Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of the General Rules and Regulations under the Act.  The information contained in or filed with the form will be made a matter of public record in the Commission files.

A manually signed copy of the form and amendments thereto shall be filed with each national securities exchange on which any class of securities of the registrant is registered.

Amendments to the notification must also be filed on form 12b-25 but need not restate information that has been correctly furnished.  The form shall be clearly identified as an amended notification.

Electronic Filers.  This form shall not be used by electronic filers unable to timely file a report solely due to electronic difficulties.  Filers unable to submit a report within the time period prescribed due to difficulties in electronic filing should comply with either Rule 201 or Rule 202 of Regulation S-T (§232.201 or §232.202 of this chapter) or apply for an adjustment in filing date pursuant to Rule 13(b) of Regulation S-T (§232.13(b) of this chapter).

Attachment A

The Registrant is unable to file its Annual Report on Form 10-K for the fiscal year ended June 30, 2011, in a timely manner because it has not received a current appraisal on a property securing one of its loans in accordance with its prior undertaking to the staff of the Commission.  In response to a staff comment, the Registrant requested a new appraisal on a property located in Wildwood, New Jersey, securing a commercial real estate loan of the Registrant. Due to difficulties accessing the property, the economic environment and lack of comparables, however, the appraiser has been unable to complete the appraisal. The Registrant has recently hired a new appraiser (subject to receipt of an executed engagement letter) to appraise the property and expects to receive the new appraisal in time to file its Annual Report on Form 10-K within the extended time period set forth in Rule 12b-25 under the Securities Exchange Act of 1934, as amended; however there can be no assurance that the appraisal will be received within such time period. Because our independent registered public accounting firm has yet to complete its audit procedures in view of these circumstances, the Company is unable to timely file its Annual Report on Form 10-K.  The Company intends to file the Form 10-K with the SEC as soon as practicable, and will make every effort to file the Form 10-K within the fifteen-day extension period afforded by Rule 12b-25.
