EXPLANATORY NOTE
State Street Corporation is filing this Amendment No. 1 on Form 8-K/A to its Current Report on Form 8-K dated January 27, 2016 solely for the purpose of disclosing under Item 2.05 of Form 8-K additional estimates regarding which it has now made a determination in connection with its State Street Beacon multi-year transformation program. This Amendment No. 1 does not otherwise revise the January 27, 2016 Form 8-K in any way.

Item 2.05.    Costs Associated with Exit or Disposal Activities.
On January 27, 2016, State Street announced expected restructuring costs associated with State Street Beacon, our multi-year transformation program intended to achieve efficiencies and further digitize our interfaces with our clients. To implement State Street Beacon, we expect to incur aggregate future pre-tax restructuring charges of approximately $300 million to $400 million beginning in 2016 through December 31, 2020. We estimate those charges will include approximately $250 million to $300 million in severance and benefits costs associated with targeted staff reductions (a substantial portion of which will result in future cash expenditures) and approximately $50 million to $100 million in information technology application rationalization and real estate actions. Included within these estimates is a charge of approximately $100 million we expect to record in the first quarter of 2016, approximately $90 million of which we expect to be for severance and benefits costs.
