(b) On April 16, 2007, consistent with S&T Bancorp, Inc.'s (the "Company") mandatory retirement policy for directors, Ms. Ruth Grant, retired from the Board of Directors. The Board of Directors named Ms. Grant to the honorary position of Director Emeritus, effective as of April 16, 2007. Also on April 16, 2007, in accordance with the Company's Bylaws, the Board of Directors has reduced the number of directors from seventeen to fifteen. |
