Item 1.01 Entry Into a Material Definitive Agreement.
On May 4, 2005, The Dixie Group, Inc. (the "Company") and Royce R. Renfroe (the "Employee"), President of Fabrica International, Inc. and Vice President of the Company, entered into a Severance Agreement and Release (the "Agreement"), effective May 12, 2005, terminating Employee's employment with the Company and providing for severance payments as set forth below.
Pursuant to the Agreement, the Employee shall receive an amount equal to twelve months' salary from the Company and the Company shall accelerate the vesting of stock options granted to the Employee on June 30, 2000.
