Item 8.01 Other Events
On August 11, 2016, XPO Logistics, Inc. (XPO or the Company) announced that it intends to offer through a private placement $535.0 million aggregate principal amount of senior notes due 2023 (the Notes). The offering is subject to certain conditions. The Company intends to use the proceeds from this offering, together with proceeds of an incremental term loan facility described below and cash on hand, to redeem and/or discharge or defease, in whole or in part, the Companys 7.875% Senior Notes due 2019, and to pay fees and expenses related thereto and related to the offering and the incremental term loan facility described below. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
The Notes will be offered to qualified institutional buyers in reliance on Rule 144A under the Securities Act or to non-U.S. persons in reliance on Regulation S under the Securities Act. The Notes will not be registered under the Securities Act. Unless so registered, the Notes may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. This report shall not constitute an offer to sell or the solicitation of an offer to buy, nor shall there be any sales of the Notes in any state or other jurisdiction in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state or other jurisdiction.
On August 11, 2016, the Company also announced that it intends to enter into a $400 million incremental term loan facility (the Incremental Facility) under the Companys existing term loan credit agreement, subject to certain customary conditions. The terms of the Incremental Facility are expected to be substantially similar to those relating to the loans outstanding under the Companys existing term loan credit agreement, except with respect to the interest rate applicable to the Companys borrowings under the Incremental Facility and prepayment premiums in connection with certain voluntary prepayments.
