Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 9, 2012, the Compensation Committee (the Committee) of Green Plains Renewable Energy, Inc. (the Company) established the target cash bonus amounts for 2012 under the Companys Short Term Incentive Plan (the Plan) for each participating officer, which range from 80% to 100% of such officers base salary, and the Company performance criteria that will be evaluated in determining the actual cash bonus amount. Based on the Plan, participants are eligible for awards in the ranges set forth below depending on the level of achievement of the Company performance criteria. The Committee will then evaluate individual performance criteria in relation to established goals for each executive officer aligned with the business plan of the Company and may adjust the award up or down in its discretion. Thereafter, the Committee may also adjust the award for external conditions beyond the control of the Company or the executive. The Company performance component is based on achieving stated goals for 2012 based on target earnings before interest, taxes, depreciation and amortization (EBITDA), target ranges for return on net assets (RONA), a safety metric, performance management execution and Committee discretion. The Companys named executive officers are entitled to the following potential cash awards under the Plan for 2012:
