On December 21, 2011, Lumber Liquidators Holdings, Inc. (the Company) and Robert M. Lynch, the Companys current President and Chief Operating Officer, entered into an amendment (the Amendment) to Mr. Lynchs Executive Employment Agreement, dated December 17, 2010 (the Employment Agreement).
The Amendment, effective January 1, 2012, modifies the Employment Agreement to reflect Mr. Lynchs previously announced appointment as the Companys President and Chief Executive Officer, effective January 1, 2012. The Amendment also provides that the increase in Mr. Lynchs base salary from $500,000 to $550,000 contemplated in March 2012 under the terms of the Employment Agreement will be effective January 1, 2012. In addition, the Amendment increases Mr. Lynchs yearly bonus eligibility from 75% of base salary to 100% of base salary, consistent with the Companys historical incentive opportunities for the Chief Executive Officer position.
