Item 8.01 | Other Events. |
Hill International, Inc. (the Company) is reissuing its historical consolidated financial statements included in its Annual Report on Form 10-K for the years ended December 31, 2008, 2007 and 2006 (2008 Form 10-K) as filed with the Securities and Exchange Commission (SEC) on March 16, 2009 to show the effects of the adoption of a new accounting standard, which became effective for the Company on January 1, 2009. The new standard requires that noncontrolling interests (previously referred to as minority interests) be reported as a component of shareholders equity; net income attributable to the parent and the noncontrolling interest be separately identified in the consolidated results of operations; changes in a parents ownership interest be treated as equity transactions if control is maintained; and upon a loss of control, any gain or loss on the interest be recognized in the consolidated results of operations. The standard requires retrospective adoption of the presentation and disclosure requirements for existing minority interests. All other requirements of the standard will be applied prospectively. The adoption of the standard did not have a material impact on the Companys financial statements.
This Current Report on Form 8-K updates Items 6 and 8 of the Companys 2008 Form 10-K, to reflect the adoption of the new accounting standard. The updated financial information is attached to this Current Report on Form 8-K as Exhibits 99.1 and 99.2 and is incorporated by reference in the Companys currently effective registration statements. All other information in the Companys 2008 Form 10-K has not been otherwise updated for events or developments that occurred subsequent to the filing of the 2008 Form 10-K. The information in this Current Report on Form 8-K should be read in conjunction with the 2008 Form 10-K and any filings made by the Company with the SEC since March 16, 2009.
