State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

The Registrant is unable to file, without reasonable effort and expense, its Form 10-K Annual Report for the period ended December 31, 2008 because its auditors have not completed their audit of the financial statements and the Registrant is unable to complete the Form 10-K without the audited financial statements.

It is anticipated that the Form 10-K Annual Report, along with the audited Financial Statements, will be filed on or before the 15th calendar day following the prescribed due date of the Registrant’s Form 10-K.

The Company expects a significant change in results of operations from the corresponding period in for the last fiscal year. Operating revenues increased approximately 8% however operating expenses increased approximately 20%, related to increases in lease operating expenses and depreciation, depletion and amortization expenses during 2008. Therefore, we expect the results for the year ended December 31, 2008 to be substantially less than the year ended December 31, 2007
