We believe, however, that our proposed combination with Rio Tinto provides even greater benefits under the conditions that currently prevail. Why? BHP Billiton and Rio Tinto are uniquely complementary in the commodities that we produce, in our geof… geographic locations where we operate, in our customers, and in the way that we do business. A combination of these two companies would unlock synergies that provide greater value than either of these two companies provide on its own, or can provide on its own. These synergies can only be unlocked through the combination of these two companies and are not available to the shareholders, um, on… on… on… of either company in, er, in combination.

So, to conclude, your company is in extremely good shape. We have a strong financial position. We have a unique combination of Rio Tinto to propose… to execute. And we have got some unique benefits to provide to shareholders: benefits that are more valuable, synergies that are more valuable in these times.

The final major subject raised by shareholders is the proposed acquisition of Rio Tinto, as Marius has mentioned. The first point to make here is that, while some commentators have described this proposal in terms of a battle, the reality is somewhat different. From our perspective, this is maximising value for both sets of shareholders, for customers and all our stakeholders. We are focused on large, long-life, low-cost, expandable and export-oriented assets, diversified by commodity and geography, and that are consistently profitable through the commodities cycle, and that’s an important element and we hear Marius talk about it a lot. We believe that BHP Billiton and Rio Tinto are similar companies, with exposure to similar commodities and assets, and the value to be extracted is because of this similarity. We believe this is… this value is unique and is only available to both sets of shareholders through a combination of BHP Billiton and Rio Tinto. No individual company can deliver this value creation alone.


So what does a bined… combined BHP Billiton/Rio Tinto means for shareholders? We believe the new combined company would have several key features:

 

   

The ability to lower costs by optimising the use of assets and infrastructure, particularly those located close to each other.

 

   

A more diversified asset portfolio, creating lower risk for shareholders in the current uncertain economic environment.

 

   

The ability to deliver volume to customers on an accelerated basis to meet their demand for resources.

 

   

A management team drawn from the best of both BHP Billiton and Rio Tinto that will have exceptional experience and depth.

 

   

A commitment to continue with our progressive dividend policy – very important.

 

   

And, importantly, strong cash flows and a strong balance sheet that will allow reinvestment through the economic cycle.

This is why we believe the two companies combined will be better placed to meet the world’s future demand for resources. Therefore, the decision for Rio Tinto shareholders isn’t whether Rio Tinto has a better future than BHP Billiton, but whether Rio Tinto, on a standalone basis, has a better future than a combined BHP Billiton and Rio Tinto.

Finally, let me turn to the timetable for the offer. As I indicated to you in my letter in September, we continue to engage with the regulators in the various jurisdictions where we operate, and we continue to work towards completing the regulatory review process for the offer by early 2009. Following satisfaction of… of pre-conditions, we will send formal offer… offer documents and acceptance forms to Rio Tinto shareholders. We’ll also convene an extraordinary meeting at which BHP Billiton shareholders will have the opportunity to approve the offer for Rio Tinto.

The first of these Items, to allot shares, is Item 24 and, as I indicated, this is the routine Item that we, like most other UK-listed companies, ask shareholders to consider each year.... This Resolution allows the Board to allot shares up to the authorised capital of the Company to finance business opportunities which might arise. The difference between authorised and issued capital is the shares which can be allotted. We’ve not used this authority in the past for business opportunities and, in particular, you can be assured that we’ll come back to you for approval to proceed with the Rio Tinto acquisition.

Let me now take Item 26 first. The buyback authority conferred, if passed, will only be exercised if the Directors, er, reactivate the buyback programme that… that was suspended on the 14 December 2007. For the avoidance of any doubt, Item 26 is not related to the Rio Tinto proposal. It is intended that the buyback that has been publicly flagged in relation to that proposal would be the subject of separate shareholder considerations at a later date.
