On March 28, 2005, AmerisourceBergen Corporation (the “Registrant”) issued a news release reducing its estimate of earnings for the fiscal year ending September 30, 2005, disclosing an estimate of earnings for the fiscal quarter ending March 31, 2005, disclosing a preliminary estimate of earnings for the fiscal year ending September 30, 2006 and announcing a conference call to discuss the foregoing matters. A copy of the news release is filed as Exhibit 99.1 to this report and incorporated herein by reference.
