Item 8.01. OTHER EVENTS.

 

On January 26, 2005, Three-Five Systems, Inc. (“TFS”), the primary manufacturer for Microtune, Inc.’s (“Microtune”) subsystem module products, announced that it is planning a number of actions designed to reduce operating costs and excess manufacturing capacity. Such actions include exploring the potential sale of its Manila, Philippines factory, where nearly all of Microtune’s subsystem module products are manufactured. TFS and Microtune are currently working together to ensure that support and product shipments remain uninterrupted.
