On February 24, 2011, News Corporation (the "Company") issued a press release announcing that News America Incorporated ("News America"), a subsidiary of the Company, has announced the expiration of the previously announced offer to purchase for cash any and all of its outstanding 9 1/4 % Senior Debentures due February 1, 2013 (the "Securities"). News America accepted for purchase a total aggregate principal amount of $227,424,000 of the Securities.

The Company's press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
