(1) | On January 8, 2007, Mr. Pedersen received a distribution of 609,296 shares of Class B Common Stock, which had been held by the ManTech International Corporation Supplemental Executive Retirement Plan for the benefit of George J. Pedersen (SERP). 243,040 shares of Class B Common Stock were converted to Class A Common Stock and surrendered to the Company to pay taxes applicable to the distribution of the SERP shares. On the same date, Mr. Pedersen converted 240,000 shares of Class B Common Stock to Class A Common Stock and gifted those shares to charity. |
(2) | The Class B Common Stock is convertible into Class A Common Stock at any time on a one-for-one basis, and has no expiration date. On January 8, 2007, Mr. Pedersen converted a total of 483,040 shares of his Class B Common Stock to 483,040 shares of Class A Common Stock. |
(3) | 14,483,168 shares of Class B Common Stock are held in the name of George J. Pedersen; 64,917 shares of Class B Common Stock are held by the ManTech Special Assistance Fund, Inc., a fund over which Mr. Pedersen has voting and investment control and as to which Mr. Pedersen disclaims beneficial ownerhsip; and 1,168 shares of Class B Common Stock are held by Mr. Pedersen's spouse. |
