(1) Grant of phantom stock by the issuer exempt pursuant to Rule 16b-3. The phantom stock is payable on a one-for-one basis in common shares of the issuer. 40,000 shares awarded 5/17/05 vest 25% annually beginning 5/17/06; 10,000 shares awarded 7/31/06 vest on 7/31/2010; and 20,000 shares awarded 8/13/07 vest 25% annually beginning 8/13/08.
(2) This option was exercisable 25% annually beginning 6/6/01.
(3) This option was exercisable 25% annually beginning 10/1/02.
(4) This option was exercisable 25% on the first two anniversaries of the date of grant and 50% on 2/23/05.
