("Clearfield", the "Company", or the "registrant") adopted the 2007 Compensation Plan (the "2007 Plan") and reserved a maximum of 750,000 shares of common stock for issuance under the 2007 Plan. These shares are registered under the Securities Act on Registration Statement on Form S-8, No. 333-136828. On February 27, 2008, at the Company's annual meeting of shareholders, the shareholders approved an increase in the number of shares reserved from 750,000 to 1,500,000.
