(1) | At a meeting of the Company's board of directors held on May 28, 2008, the board determined that it would amend Mr. Porry's long-term incentive performance unit award granted in November 2005 to change the expiration date of the award from August 16, 2010 to May 28, 2013. Because the value of the long-term incentive performance units is not based solely on the value of the underlying security, they may not be a derivative security. However, in the interest of full disclosure, Mr. Porry has included the units on his Section 16 reports. The units will be earned if the Company's common stock trades at or above $20.00 per share and the Company has a change of control at that price or higher prior to the expiration date, and result in a cash payment to the reporting person of an amount equal to the product of the vested units and the price of the Company's common stock on the last business day preceding the change of control transaction. |
