Results of Operations and Financial Condition
 
On July 31, 2006, Southwall Technologies Inc. (the “Registrant”) issued a press release announcing its financial results for the quarter ended June 30, 2006. A copy of such press release of the Registrant is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference in its entirety.

Item 7.01.
Regulation FD Disclosure

The Registrant has noted that it has received qualification orders for a new plasma display filter product, which is its first non-indium product. The Registrant expects that it will begin volume supply of this product during the 4th quarter of this year.

Also, the Registrant’s new, non-sputtering technology initiative continues to make good progress, and the Registrant expects to see sample availability beginning by the end of this year. Pilot scale production using this new technology, is approximately 18 months away.
