On February 21, 2006, AmeriVest Properties Inc. (the “Company”) issued a press release announcing the receipt of a letter of intent with respect to its portfolio.  The press release is being furnished on Form 8-K because the Company was made aware that the information contained in the letter was provided selectively by the drafter of the letter to certain shareholders of the Company.  A copy of the Company’s press release is included under Item 9.01(c) as Exhibit 99.1 to this report and is included in this Item by reference.
