Convergence Ethanol, Inc. did not have the resources to provide its auditors with all of the information necessary for the auditors to complete the review of the financial statements. This delay was in part caused by the Company’s need to consolidate the financial results for registrant, its California subsidiary and its Texas subsidiaries, without incurring unreasonable expense.

Explanation: Sales for the three months ended March 31, 2007 were down approximately one million dollars versus the corresponding prior year period.  We attribute this decline in sales to a weakening of demand in our industrial pumps, valves and instrumentation product lines.  Year-to-date sales for the six months ended March 31, 2007 were up approximately three hundred thousand dollars versus the corresponding prior year period.  Strong Intelligent Filtration Systems sales more than offset weakness in our industrial pumps, valves and instrumentation product lines.
