On June 13, 2005, Southwall Technologies Inc. ("Southwall") issued a press release announcing the resignation of its Senior Vice President and Chief Financial Officer, Maury Austin, effective June 21, 2005. A copy of the press release is filed as Exhibit 99.1 herewith.

On June 13, 2005, Southwall issued a press release announcing the hiring of Dr. Neil Bergstrom as Senior Vice President of Engineering and Chief Technology Officer and Bruce Lang as Director of World Wide Marketing, effective immediately.
