Majesco Entertainment Company (the “Company”) is filing this Current Report on Form 8-K in conjunction with a review by the Securities and Exchange Commission (the “SEC”) of a confidential treatment request with respect to the License and Distribution Agreement, dated April 13, 2007, as such agreement was originally filed as Exhibit 10.1 to the Company’s Quarterly Report on Form 10-Q for the quarter ended April 30, 2007, as filed in redacted form with the SEC on June 14, 2007. Subsequent to the review by the SEC of the confidential treatment request, the Company has amended the redactions it originally made and is filing herewith such further amended redacted version as Exhibit 10.1.
