Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
As previously announced, on May 19, 2006, due to the delay in filing its Form 10-Q for the period ended March 31, 2006, Connetics Corporation, or the Company, received a Nasdaq Staff Determination Notice from the Nasdaq Stock Market Listing Qualifications Department indicating that the Company’s common stock was subject to delisting pursuant to Nasdaq Marketplace Rule 4310(c)(14). On July 25, 2006, the Company filed its Form 10-Q with the Securities and Exchange Commission.
On July 31, 2006, the Nasdaq Stock Market notified the Company that based on information provided by the Company, the Panel has found the Company to be in full compliance with the Nasdaq Marketplace Rules, and that accordingly, the Panel has determined to continue the listing of Connetics’ common stock on The Nasdaq Global Market (formerly known as the Nasdaq National Market).
On August 1, 2006, the Company announced the above by press release, a copy of which is attached as Exhibit 99.1 to this report.
