Item 8.01. Other Events.
     On June 15, 2006, Michaels Stores, Inc. (the “Company”) received a letter from the Division of Enforcement of the Securities and Exchange Commission requesting that the Company preserve all documents concerning its granting of stock options from 1990 through the present and states that the SEC intends to request production of such documents in the future. As recently disclosed in the Company’s Form 10-Q filed on June 13, 2006, the Company’s Audit Committee is conducting an internal review of the Company’s stock option practices, focused principally on the period from 1990 to 2001.
