Item 1.01 Entry into a Material Definitive Agreement

(a)         On November 18, 2009, First Financial Northwest, Inc. (“Company”) entered into a Severance Agreement with Robert H. Gagnier, Vice President of the Company, and Senior Vice President and Chief Lending Administrative Officer of First Savings Bank Northwest (“Bank”).  Mr. Gagnier has announced that he intends to retire from active employment from the Company and the Bank on December 31, 2009.  The Severance Agreement provides a severance benefit to Mr. Gagnier in exchange for his services during a transition period from December 31, 2009 until March 31, 2010 in connection with the lending functions and activities of the Company and the Bank following his retirement. A copy of the Severance Agreement is attached hereto as Exhibit 10.1 and is incorporated herein by reference.


Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b)           On November 18, 2009, the Company announced that Robert H. Gagnier, Vice President of the Company, and Senior Vice President and Chief Lending Administrative Officer of the Bank, intends to retire on December 31, 2009.  Mr. Gagnier has held his current position at the Company since the Company’s inception in 2007, and has held his current position at the Bank since 2001.  Prior to serving in his current position at the Bank, Mr. Gagnier had served as Vice President, Loan Officer and Compliance Officer of the Bank since 1986.

As reported in Item 1.01 of the Form 8-K, on November 18, 2009, Mr. Gagnier entered into a Severance Agreement with the Company and the Bank, which provides a severance benefit in exchange for his services during a transition period from December 31, 2009 until March 31, 2010 in connection with the lending functions and activities of the Company and the Bank. A copy of the agreement is attached hereto as Exhibit 10.1 and is incorporated herein by reference.
