               This prospectus supplement supplements the prospectus dated
November 21, 2001 of Vishay Intertechnology, Inc. as supplemented by prospectus
supplements dated December 10, 2001 and January 4, 2002. The prospectus relates
to the sale by certain of our securityholders of up to $550,000,000 aggregate
principal amount at maturity of the Liquid Yield Option Notes ("LYONs") of
Vishay and the shares of common stock issuable upon conversion and/or our
re-purchase of the LYONs. You should read this prospectus supplement in
conjunction with the prospectus, and this prospectus supplement is qualified by
reference to the prospectus, except to the extent that the information in this

     the LYONs. This conversion rate is subject to adjustment, however, as

     Rate and Delivery of Shares of Common Stock" in the prospectus. As a
     result, the number of shares of common stock issuable upon conversion of
     the LYONs may increase or decrease in the future. Does not include shares
