Item 8.01.                      Other Events.

On January 5, 2009, New Century Equity Holdings Corp. (“NCEH”) issued a press release announcing it has begun soliciting NCEH stockholders to vote on NCEH’s proposed acquisition of Wilhelmina International, Ltd. and its affiliated companies, including Wilhelmina Models, Wilhelmina Miami, Wilhelmina Film & TV and Wilhelmina Artist Management, and certain related matters.  A copy of the press release is furnished as Exhibit 99.1 hereto and incorporated herein by reference.
