Item 7.01. Regulation FD Disclosure.

PepsiCo is furnishing this Current Report on Form 8-K to clarify certain information contained in a Reuters News service report issued January 18, 2005 regarding PepsiCo’s China operations.

PepsiCo’s beverage volume in China increased by an estimated 26% in 2004.

The PepsiCo China sales figure of $1 billion quoted in the Reuters report reflects an estimate of sales at retail value for the PepsiCo beverage system, which includes products produced by PepsiCo’s bottling partners. PepsiCo’s China net sales comprise less than one percent of PepsiCo’s total net sales.

PepsiCo confirms it expects its beverage operations in China to achieve double digit volume growth in 2005.

The foregoing information in this Current Report is being furnished pursuant to Item 7.01 and shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that Section. The information in this Current Report shall not be incorporated by reference into any registration statement pursuant to the Securities Act of 1933, as amended. In addition, this Current Report on Form 8-K contains statements concerning expectations for future performance. Any such forward-looking statements are inherently speculative and are based on currently available information, operating plans and projections about future events and trends. As such, they are subject to numerous risks and uncertainties. Actual results and performance may be significantly different from expectations.
