Item 2.02.     Results of Operations and Financial Condition.

Incorporated by reference is the quarterly report to stockholders issued by First Mid-Illinois Bancshares, Inc. (the "Company") on August 1, 2016, attached as Exhibit 99, providing information concerning the Company's financial statements and operations as of June 30, 2016.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 26, 2016, John W. Hedges, age 68, informed the Board of Directors of the Company of his intent to resign, effective as of the close of business on December 31, 2016, from his positions as Senior Executive Vice President of the Company and Chief Credit Officer of the Company’s wholly owned banking subsidiary, First Mid-Illinois Bank & Trust, N.A. (“First Mid Bank”). The Company and Mr. Hedges intend that Mr. Hedges will serve as a consultant to the Company beginning on January 1, 2017.

Effective January 1, 2017, following the retirement of Mr. Hedges, Eric S. McRae will assume the position of Chief Credit Officer of First Mid Bank.  Mr. McRae, age 51, has been Executive Vice President of the Company and Executive Vice President, Senior Lender of First Mid Bank since December 2008 and will retain his roles as Executive Vice President of the Company and Executive Vice President of the Bank upon assuming the position of Chief Credit Officer of the Bank.  He served as First Mid Bank’s Decatur Regional President from 2001 to December 2008.

Mr. McRae has an extension of credit from First Mid Bank. Such extension of credit was made in the ordinary course of business, on substantially the same terms, including interest rates and collateral, as those prevailing at the time for comparable loans with persons not related to First Mid Bank, and did not involve more than the normal risk of collectability or present other unfavorable features.
