ITEM 5.02 (b)


On November 6, 2014, the Company provided written notice to John Abbott, its Group Vice President of the Standex Food Service Equipment Group, that Mr. Abbott’s employment with the Company will terminate in thirty (30) days.  The termination will be effective on December 6, 2014.  Mr. Abbott will be actively involved in facilitating a smooth transition over the next thirty days.   The Company thanks Mr. Abbott for his service over the past nearly eight years.


Mr. Abbott will receive severance pursuant to the terms of his Amended and Restated Employment Agreement (the “Agreement”), which contains certain non-compete and confidentiality provisions.  The Agreement was filed as Exhibit 10(b) to Form 10-K on August 27, 2010.


The Company expects to announce Mr. Abbott’s successor in the near future.
