Item 8.01 Other Events.

On August 17, 2005, Lightbridge, Inc. and America Online, Inc. mutually agreed to terminate the Master Services Agreement, under which we provided our GroupTalk™ instant conferencing services to American Online, Inc. We no longer actively market or sell our GroupTalk product.
