Item 8.01 Other Events.
Windstream Holdings, Inc. (Nasdaq: WIN) previously announced that, on November 5, 2016, it has entered into an Agreement and Plan of Merger (the “Merger Agreement”) with EarthLink Holdings Corp., a Delaware corporation (“EarthLink”), Europa Merger Sub, Inc., a Delaware corporation and an indirect, wholly-owned subsidiary of Windstream (“Merger Sub 1”), and Europa Merger Sub, LLC, a Delaware limited liability company and an indirect, wholly-owned subsidiary of Windstream (“Merger Sub 2”) pursuant to which, among other things, (i) Merger Sub 1 will be merged with and into EarthLink (the “Merger”) with EarthLink continuing as the surviving corporation (the “Surviving Corporation”) and (ii) immediately following the Merger, the Surviving Corporation will be merged with and into Merger Sub 2 (the “Subsequent Merger” and, together with the Merger, the “Combination”), with Merger Sub 2 continuing as the surviving company and an indirect, wholly-owned subsidiary of Windstream (the “Surviving Company”), in each case subject to the terms and conditions of the Merger Agreement. In connection with the Combination, Windstream is seeking to amend its existing senior secured credit agreement. Among other things, the amendment would (i) establish up to $450 million in incremental term loans, the proceeds of which would be used to redeem, repurchase or discharge all or a portion of EarthLink’s existing third-party debt under its June 30, 2016 credit facility, and EarthLink’s or its subsidiaries’ outstanding 8.875% notes due 2019 and 7.375% notes due 2020, and (ii) modify certain other definitions and provisions, in each case, subject to customary conditions. Consummation of the amendment is subject to numerous factors, including reaching agreement with lenders and market conditions, and there can be no assurance that Windstream will successfully enter into the amendment to its senior secured credit agreement on the terms described herein or at all. The borrowing of loans under the amendment will be subject to the closing of the Combination.
