On December 15, 2015, John J. Davies, III submitted his resignation from the Board of Directors of Virginia National Bankshares Corporation (the “Company”) and its affiliates effective December 31, 2015. The decision of Mr. Davies to resign as director of the Company was not due to any disagreement with the Company on any matter relating to its operations, policies or practices.
Item 8.01 Other Events.
On December 18, 2015, the Company’s Board of Directors declared a quarterly cash dividend of $0.10 per share to be paid on January 18, 2016 to shareholders of record as of January 4, 2016.
A copy of the Company’s press statement the quarterly dividend is attached hereto as Exhibit 99.1 and incorporated herein by reference.
