Incorporated by reference into this filing is the preliminary prospectus (the “Preliminary Prospectus”) contained in the Form S-4 Registration Statement (File No. 333-228790) of NiSource Inc., a Delaware corporation (“NiSource”), filed with the Securities and Exchange Commission (the “SEC”) on December 13, 2018 with respect to the proposed offer by NiSource to exchange any and all shares of its 5.650% Series A Fixed-Rate Reset Cumulative Redeemable Perpetual Preferred Stock, liquidation preference $1,000 per share (“Series A Preferred Stock”), which were issued in a transaction exempt from registration under the Securities Act of 1933, as amended (the “Securities Act”; such unregistered shares, the “Old Shares”), for up to 400,000 shares of Series A Preferred Stock that have been registered under the Securities Act.
