Item 8.01 Other Events.

On September 7, 2017, Whiting Petroleum Corporation (the “Company”, “Whiting”, “we”, “us” or “our”) issued a press release announcing that it plans to effect a reverse stock split of its common stock, par value $0.001 per share (the “common stock”), at a ratio ranging from any whole number between 1-for-2 to 1-for-6, as determined by the Company’s Board of Directors, and a reduction in the number of authorized shares of its common stock as set forth in the chart below based on the reverse stock split ratio that is selected.

The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

The Company will hold a special meeting of stockholders in the fourth quarter of 2017 to seek approval of a proposal to authorize the reverse stock split and authorized share reduction. The affirmative vote of the holders of a majority of the shares entitled to vote at the special meeting is required to adopt and approve such proposal. Holders of Whiting’s common stock as of the close of business on September 18, 2017 will be entitled to notice of and to vote at the special meeting. On September 7, 2017, the Company filed with the U.S. Securities Exchange Commission (the “SEC”) a preliminary proxy statement on Schedule 14A, which includes additional information about the reverse stock split and authorized share reduction, in connection with the special meeting. The preliminary proxy statement is available on the SEC’s website at www.sec.gov.

The reverse stock split is subject to market and other customary conditions, including stockholder approval. The Company reserves the right, in its discretion, to abandon the reverse stock split and authorized share reduction at any time prior to filing the applicable certificate of amendment with the Secretary of State of the State of Delaware.
