Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Russell Friend, Chief Development Officer of The Habit Restaurants, Inc. (the “Company”), resigned from the Company, effective August 4, 2016, to pursue other opportunities. The Company does not currently have any immediate plans to search for a replacement.
