This Amendment No. 10 (this “Amendment”) amends and supplements the Tender Offer Statement on Schedule TO initially filed with the Securities and Exchange Commission on November 16, 2015 (as amended from time to time, the “Schedule TO”) filed by Expedia, Inc., a Delaware corporation (“Expedia”), and HMS 1 Inc., a Delaware corporation and a direct wholly owned subsidiary of Expedia (“Offeror”), relating to the offer (the “Offer”) by Offeror to exchange for each outstanding share of common stock, $0.0001 par value per share, of HomeAway, Inc., a Delaware corporation (“HomeAway”), (a) $10.15 in cash and (b) 0.2065 of a share of Expedia common stock, plus cash in lieu of any fractional shares, in each case, without interest and less any applicable withholding taxes (such consideration, the “transaction consideration,” and such offer, on the terms and subject to the conditions and procedures set forth in the prospectus/offer to exchange, dated November 16, 2015 (the “Prospectus/Offer to Exchange”), and in the related letter of transmittal (the “Letter of Transmittal”), together with any amendments or supplements thereto, the “Offer”).

Expedia has filed with the Securities and Exchange Commission (“SEC”) a Registration Statement on Form S-4 dated November 16, 2015, relating to the offer and sale of shares of Expedia common stock to be issued to holders of shares of HomeAway common stock validly tendered into the Offer and not validly withdrawn (the “Registration Statement”). The terms and conditions of the Offer are set forth in the Prospectus/Offer to Exchange, which is a part of the Registration Statement, and the Letter of Transmittal, which are filed as Exhibit (a)(4) and (a)(1)(A), respectively, hereto. Pursuant to General Instruction F to Schedule TO, the information contained in the Prospectus/Offer to Exchange and the Letter of Transmittal, including any prospectus supplement or other supplement thereto related to the Offer hereafter filed with the SEC by Expedia or Offeror, is hereby expressly incorporated into the Schedule TO by reference in response to items 1 through 11 of the Schedule TO and is supplemented by the information specifically provided for in the Schedule TO. The Agreement and Plan of Reorganization, dated as of November 4, 2015, by and among Expedia, HomeAway, and Offeror (the “Transaction Agreement”), a copy of which is filed as Exhibit (d)(1) hereto, is incorporated into the Schedule TO by reference.

All information regarding the Offer as set forth in the Schedule TO, including all exhibits and annexes thereto that were previously filed with the Schedule TO, is hereby expressly incorporated by reference into this Amendment, except that such information is hereby amended and supplemented to the extent specifically provided for herein and to the extent amended and supplemented by the exhibits filed herewith. Capitalized terms used but not defined in this Amendment have the meanings ascribed to them in the Schedule TO.

Items 1 through 11.

Items 1 through 11 of the Schedule TO are hereby amended and supplemented by adding the following information:

At midnight, Eastern Standard Time, at the end of December 14, 2015, the Offer expired as scheduled and was not extended. Offeror was advised by Computershare, the depositary and exchange agent for the Offer, that as of the expiration of the Offer, a total of 63,068,486 shares of HomeAway common stock were validly tendered in the offer and not validly withdrawn, representing



approximately 64.8% of HomeAway’s outstanding shares of common stock. The number of shares of HomeAway common stock validly tendered and not validly withdrawn pursuant to the Offer satisfied the minimum tender condition to the Offer, and all other conditions to the Offer were satisfied. Accordingly, Offeror accepted for exchange, and will promptly exchange, all 63,068,486 shares of HomeAway common stock validly tendered and not validly withdrawn.

Following the consummation of the Offer, Expedia and Offeror completed the acquisition of HomeAway pursuant to the terms of the Transaction Agreement, through the merger of the Offeror with and into HomeAway in accordance with Section 251(h) of the General Corporation Law of the State of Delaware, with HomeAway continuing as the surviving corporation, followed by the merger of the surviving corporation with and into Expedia, with Expedia continuing as the surviving corporation (the “Mergers”).

Following the Mergers, all shares of HomeAway common stock will be delisted from NASDAQ and deregistered under the Exchange Act.

On December 15, 2015, Expedia issued a press release announcing the expiration and results of the Offer and the consummation of the Mergers. A copy of the press release is attached as Exhibit (a)(5)(N) hereto and incorporated by reference herein.
