Item 1.01 Entry into a Material Definitive Agreement

On March 23, 2015, Rice Energy Inc. (the “Company”) entered into a Third Amendment (the “Third Amendment”) to its Third Amended and Restated Credit Agreement, among the Company, Wells Fargo Bank, N.A., as administrative agent, and the lenders and other parties thereto. The Third Amendment provides that the Company will not incur an automatic reduction in the borrowing base under its revolving credit facility as a result of the Company’s issuance of up to $400 million in aggregate principal amount of senior notes on or after the date of the Third Amendment and before the date of the next redetermination, which is scheduled for May 1, 2015. As such, the borrowing base under the Company’s revolving credit facility will remain at $550.0 million until its next redetermination.
