Item 8.01 Other Events.

On July 15, 2014, Stifel Financial Corp. (the “Company” or “we”) announced that it priced $300,000,000 aggregate principal amount of its 4.25% Senior Notes due July 2024 (“Senior Notes”). The Senior Notes will be issued pursuant to an effective shelf registration statement previously filed with the Securities and Exchange Commission on Form S-3. The offering is expected to close on or about Friday, July 18, 2014.

A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
