ITEM 5.02. DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS.

On June 30, 2007, the Board of Directors of the Registrant accepted the resignation of J. Alan Lindauer, Roger L. Frost and O. L. Everett as directors of the Registrant. Such resignations coincide with the end of the Registrant’s fiscal year on June 30, 2007. The resignations did not result from any disagreement with the Registrant, as such term is defined in 17 CFR 240.36-7, relating to the Registrant’s operations, policies or practices.
