On November 28, 2005, Federated Investors, Inc. issued the press release attached hereto as Exhibit 99.1 and incorporated by reference herein, to report that it has entered into settlement agreements with the Securities and Exchange Commission and the New York State Attorney General to resolve the company’s previously disclosed past mutual fund trading issues.
