On September 23, 2005, Sanofi-Aventis caused its consolidated financial statements as of June 30, 2005, and its Management Report for the six months ended June 30, 2005, each adopted on August 30, 2005, to be published in the French official gazette “Bulletin des Annonces légales obligatoires” or BALO. English translations of the consolidated financial statements and the management report are attached hereto as Exhibits 99.1, and 99.2, respectively, and incorporated herein by reference.
