On April 22, 2005, Key Tronic Corporation’s wholly owned subsidiary Key Tronic Juarez, S.A. de C.V. entered into a Promise to Execute a Purchase and Sale Agreement by and between Key Tronic Juarez, S.A. de C.V. and Key Safety Systems de Mexico, S.A. de C.V., the material terms and conditions of which are incorporated herein by reference to Exhibit 10.1 filed herewith.
