Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
| (b) | On October 15, 2004, Safeway Inc. issued a press release announcing the resignation, effective October 21, 2004, of James H. Greene, Jr. and George R. Roberts from the Company’s Board of Directors. |
| (d) | On October 15, 2004, the Company also announced the appointment of Janet E. Grove and Mohan Gyani to the Company’s Board of Directors, effective October 21, 2004. There are no arrangements or understandings between either of Ms. Grove or Mr. Gyani and any other person pursuant to which either of them was selected as a Director of the Company. The committees of the Board of Directors on which each of Ms. Grove and Mr. Gyani will serve have not yet been determined. Neither Ms. Grove nor Mr. Gyani has any reportable transactions under Item 404(a) of Regulation S-K. |
